1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and JiaMingYaGe Consulting Service (operating 嘉名雅阁（Jiamingyage / GreatName）, hereinafter "we", "us", or "the Service").

These Terms apply to your use of the Service across all access points, including our website and our WeChat Mini Program (operated under our WeChat overseas/international entity account).

By accessing, registering for, or using the Service in any manner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

These Terms contain a binding arbitration clause and class action waiver (Section 15). Please read carefully.

2. Description of Service

The Service provides culturally-themed naming consultation based on traditional Chinese cultural references, including but not limited to: phonetic analysis, character meaning analysis, Chinese astrology (bazi) interpretation, zodiac considerations, name uniqueness assessment, and dialect homophone checking.

The Service is provided for cultural, educational, and reference purposes only. It is not, and should not be construed as, professional advice of any kind, including but not limited to fortune-telling, religious counseling, psychological counseling, medical advice, legal advice, or any predictive service regarding life outcomes.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3.2 Submitting Information About Minors

A core feature of the Service involves processing date and time of birth for newborns or minors. When you submit such information, you represent and warrant that:

• You are the parent, legal guardian, or an authorized family member of the minor
• You have full legal authority to submit such information on behalf of the minor
• You have obtained any consent required by applicable law from co-parents or co-guardians
• You will indemnify us against any claims arising from unauthorized submission

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.4 Prohibited Users

You may not use the Service if you are: (a) located in a jurisdiction where such use is prohibited; (b) on any government list of prohibited or restricted persons; or (c) previously suspended or removed from the Service.

4. Free Tier and Paid Reports

4.1 Free Tier

We offer a limited number of free naming queries per user. Free tier features and limits may be modified at our discretion without notice.

4.2 Paid Reports

Paid reports are sold on a one-time basis at the price displayed at the time of purchase. Payment methods are:

• International users: USD via Stripe (cross-border credit/debit card).
• RMB (China) users: RMB is not collected within the Mini Program. RMB access is arranged offline by adding our customer-service WeChat (impm01).

All prices are exclusive of applicable taxes, which will be calculated and added at checkout.

4.3 Payment Authorization

By purchasing a paid report, you authorize us (and our payment processors) to charge the specified amount to your payment method. You represent that you are authorized to use the payment method provided.

5. Refund Policy

5.1 Digital Goods Nature

Naming reports are digital goods that are personalized, generated upon order, and delivered electronically. By placing an order, you expressly request immediate fulfillment and acknowledge that you waive any statutory right of withdrawal upon delivery of the report, to the extent permitted by applicable law.

5.2 No Refund Policy

Generally, all sales are final. We do not provide refunds for:

• Dissatisfaction with the cultural content or aesthetic of the report
• Disagreement with the analysis results or naming recommendations
• Change of mind after report generation
• Technical issues caused by your equipment or network

5.3 Discretionary Refunds

We may, at our sole discretion, provide refunds in cases of:

• Technical failures on our side preventing report delivery
• Duplicate charges
• Clear, demonstrable algorithmic errors (e.g., incorrect bazi calculation due to our system fault)

Refund requests must be submitted within 7 days of purchase via jiamingyage@gmail.com (or, for RMB orders, via our customer-service WeChat impm01) with supporting evidence.

Refund channels by payment method:

• Stripe (USD) orders: refunded to the original card via Stripe.
• RMB orders: as RMB is arranged offline via customer-service WeChat (impm01), any approved refund is processed through that same channel and returned via the original payment route.

5.4 EU Consumer Rights

EU consumers acknowledge that, by requesting immediate access to digital content, they consent to immediate performance and waive the 14-day right of withdrawal under EU Directive 2011/83/EU, to the extent permitted.

6. Intellectual Property

6.1 Our Intellectual Property

All algorithms, software, databases, cultural commentary, designs, trademarks, and the overall structure of the Service are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

6.2 Reports and Generated Content

Naming reports generated by the Service are licensed to you for personal use only. You may:

• Use the report for naming your own family member
• Share the report privately with your immediate family
• Print and save the report for personal reference

You may not:

• Resell, redistribute, or commercially exploit the report
• Use the report to train competing AI models or naming services
• Reverse-engineer the algorithms or content structures
• Reproduce substantial portions in commercial publications

6.3 User-Submitted Content

By submitting information to the Service (including names, birth data, preferences, and feedback), you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and create derivative works from such information for the purposes of:

• Providing the Service to you
• Improving our algorithms and Service (in de-identified or aggregated form)
• Research and product development
• Marketing materials (only with explicit additional consent, and only in de-identified form)

This license survives termination of your account.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you assign all rights to us without compensation. We may use such feedback freely.

7. Disclaimers and Limitations

7.1 Cultural and Educational Nature

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• The Service is provided for cultural, educational, and entertainment purposes only
• The Service is NOT a fortune-telling, divination, prediction, or counseling service
• The Service does NOT make claims about your child's future fortune, character, health, career, marriage, longevity, or any life outcome
• Traditional Chinese cultural concepts (such as bazi five-elements analysis, zodiac considerations, five-grid analysis) referenced in the reports are traditional cultural references, NOT scientifically validated predictive frameworks
• We make no warranty or representation that any name suggested will bring good fortune, prevent misfortune, or have any actual effect on the life of the person named
• Cultural interpretation may vary among schools of thought; our interpretations represent one cultural perspective and are not universally agreed upon

7.2 No Professional Advice

The Service does not constitute:

• Medical advice or psychological counseling
• Legal advice (including advice on legal name registration)
• Financial advice
• Religious counsel
• Professional consultation of any other kind

Consult qualified professionals for such matters.

7.3 "AS IS" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.4 Algorithm Limitations

You acknowledge that:

• AI and rule-based outputs may contain errors or culturally imperfect interpretations
• Schools of traditional Chinese culture differ in their methods and conclusions; we do not represent any single authoritative tradition
• Edge-case birth data (e.g., timezone disputes, leap month interpretations) may yield results different from other systems
• We continuously refine our algorithms; outputs may change between versions

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1 Exclusion of Indirect Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits or revenue
• Loss of opportunities or relationships
• Emotional distress
• Costs of substitute services
• Damage to reputation
• Any claim arising from your or your family's life events that you attribute to the name selected based on the Service

8.2 Liability Cap

OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, OR OTHERWISE), SHALL NOT EXCEED THE GREATER OF:

• THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
• USD 100

8.3 Jurisdictional Limitations

Some jurisdictions do not allow exclusion or limitation of certain damages. To the extent any disclaimer or limitation is unenforceable in your jurisdiction, the remaining provisions shall apply to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, affiliates, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your violation of any applicable law
• Your submission of information about minors without proper authorization
• Your misuse of the Service or reports
• Any third-party claim arising from your use of the Service
• Any decision you make based on the Service

10. Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose
• Submit false, inaccurate, or fraudulent information
• Submit information about a third party (including minors) without proper authorization
• Attempt to access accounts of other users
• Reverse-engineer, decompile, or attempt to extract source code or algorithms
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Interfere with or disrupt the Service or servers
• Bypass any security or access controls
• Resell, sublicense, or commercialize Service outputs
• Use the Service to train competing AI or naming services
• Submit content that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable
• Impersonate any person or misrepresent your affiliation
• Violate intellectual property rights of us or any third party

Violation may result in immediate suspension or termination of your account without refund.

11. Service Modifications and Termination

11.1 Service Modifications

We may modify, suspend, or discontinue the Service (or any part) at any time, with or without notice. We are not liable for any modification or discontinuation.

11.2 Account Termination by You

You may close your account at any time by contacting us. Closure does not entitle you to a refund of paid reports.

11.3 Termination by Us

We may suspend or terminate your account, with or without notice, for:

• Breach of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Risk to our operations or other users
• Extended inactivity (typically 24 months)
• Any other reason at our discretion

11.4 Survival

Provisions that by their nature should survive termination (including Sections 6, 7, 8, 9, 12, 14, 15) shall survive.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, incorporated herein by reference.

13. Third-Party Services

The Service integrates with third-party services (payment processors, cloud providers, AI APIs). Your use of those services is governed by their respective terms. We are not responsible for third-party services.

14. Governing Law

These Terms are governed by the laws of [British Columbia, Canada], without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For consumers resident in jurisdictions where local mandatory consumer protection law applies, such mandatory protections also apply to the extent legally required.

15. Dispute Resolution; Arbitration; Class Action Waiver

15.1 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at jiamingyage@gmail.com and provide a detailed description of the dispute. We will attempt good-faith resolution within 30 days.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from these Terms or the Service shall be resolved by binding arbitration administered by [Vancouver International Arbitration Centre] under its [Expedited Procedure Rules] (or equivalent). Arbitration shall be:

• Conducted in English (or Chinese if both parties agree)
• Held in Vancouver, Canada (or via video conference)
• Decided by a single arbitrator
• Confidential

15.3 Class Action Waiver

YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.4 Exceptions

The following may be brought in court:

• Small claims that fit within small claims court jurisdiction
• Injunctive relief for intellectual property infringement
• Where mandatory consumer law in your jurisdiction prohibits arbitration

15.5 Severability of Arbitration Clause

If the class action waiver is found unenforceable, the entire arbitration clause is severable, but the remainder of these Terms continues to apply.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to (e.g., for specific features), constitute the entire agreement between you and us.

16.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

16.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

16.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a business transfer.

16.5 Language

These Terms are provided in English and Chinese. In case of any conflict between the English and Chinese versions, the English version shall prevail for the determination of the parties' rights and obligations, except where local law of your jurisdiction mandates otherwise.

16.6 Notices

We may notify you via the email address registered to your account. You may notify us at jiamingyage@gmail.com.

16.7 Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, pandemic, government action, network outages, or third-party service failures.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via:

• A notice on the Service
• Email to your registered address (for substantive changes)
• A revised "Last Updated" date at the top of these Terms

Continued use of the Service after notice constitutes acceptance.

本服务仅供文化、教育和参考之用,不构成、也不应被解释为任何形式的专业建议,包括但不限于:算命占卜、宗教咨询、心理咨询、医疗建议、法律建议或任何关于人生结果的预测服务。

三、资格与账户注册

3.1 年龄要求

您必须年满 18 周岁(或您司法管辖区的成年年龄,以较高者为准)方可使用本服务。您使用本服务即声明并保证您满足此要求。

3.2 提交未成年人信息

本服务的核心功能涉及处理新生儿或未成年人的出生年月日时。您提交此类信息,即声明并保证:

• 您是该未成年人的父母、合法监护人或被授权的家庭成员
• 您具有完整的合法授权代表该未成年人提交此类信息
• 您已根据适用法律取得共同父母或共同监护人(如有)的同意
• 您将就因未经授权的提交所产生的任何索赔向我们承担赔偿责任

3.3 账户准确性

您同意在注册时提供准确、最新、完整的信息,并在需要时更新。您负责保管您的账户凭证,并对您账户下的所有活动承担责任。

3.4 受限用户

您不得在以下情况下使用本服务:(a)您所在司法管辖区禁止此类使用;(b)您在任何政府禁止或受限人员名单上;(c)您之前被本服务暂停或移除。

四、免费体验与付费报告

4.1 免费体验

我们为每位用户提供有限次数的免费取名查询。免费功能和限额可由我们自主裁量随时修改而无需通知。

4.2 付费报告

付费报告以一次性方式按购买时显示的价格销售。支付方式为:

• 国际用户:USD,通过 Stripe 支付(跨境信用卡/借记卡)。
• 人民币(国内)用户:小程序内不收款。人民币开通经"添加客服微信 impm01 线下开通"。

所有价格不含适用税费,税费将在结账时计算并加收。

4.3 支付授权

您购买付费报告,即授权我们(及我们的支付机构)从您的支付方式扣除相应金额。您声明您有权使用所提供的支付方式。

五、退款政策

5.1 数字商品性质

取名报告系个性化、按订单生成、电子方式交付的数字商品。您下单即明确请求立即履行,并确认在报告交付后您放弃任何法定撤回权(以适用法律允许为限)。

5.2 不予退款政策

通常,所有销售一经完成即不予退款。我们不为以下情况提供退款:

• 对报告文化内容或美感的不满
• 与分析结果或推荐名字的不同看法
• 报告生成后改变主意
• 您的设备或网络导致的技术问题

5.3 自主裁量退款

我们可在以下情况下自主裁量提供退款:

• 我方原因导致报告无法交付的技术故障
• 重复扣款
• 清晰、可证明的算法错误(例如,因我方系统故障导致的八字计算错误)

退款请求须在购买后 7 日内 通过 jiamingyage@gmail.com(人民币订单亦可通过客服微信 impm01)提交,并附支持证据。

按支付方式的退款渠道:

• Stripe(USD)订单:经 Stripe 原路退回至原卡。
• 人民币订单:由于人民币系经客服微信(impm01)线下开通,经核准的退款通过同一渠道处理,并按原支付路径原路退回。

5.4 欧盟消费者权利

欧盟消费者确认,请求立即访问数字内容即同意立即履行,并放弃欧盟指令 2011/83/EU 项下 14 日撤回权,以法律允许为限。

六、知识产权

6.1 我们的知识产权

本服务的所有算法、软件、数据库、文化注释、设计、商标及整体结构均归我们或我们的许可方所有。我们授予您有限、非独占、不可转让、可撤销的许可,仅供个人非商业使用。

6.2 报告与生成内容

本服务生成的取名报告仅授权您个人使用。您可以:

您不得:

• 转售、再分发或商业利用报告
• 使用报告训练竞争性 AI 模型或取名服务
• 反向工程算法或内容结构
• 在商业出版物中复制大量内容

6.3 用户提交内容

您向本服务提交信息(包括姓名、生辰数据、偏好和反馈),即授予我们全球范围、免版税、永久、不可撤销、可转授权的许可,用于:

• 向您提供本服务
• 改进我们的算法和服务(以去标识化或聚合形式)
• 研究和产品开发
• 营销材料(仅在另行明确同意后,且仅以去标识化形式)

此许可在您账户终止后继续有效。

6.4 反馈

七、免责声明和限制

您明确确认并同意:

7.2 非专业建议

本服务不构成:

• 医疗建议或心理咨询
• 法律建议(包括法定名字登记建议)
• 财务建议
• 宗教指导
• 任何其他形式的专业咨询

如需此类事项,请咨询合格的专业人士。

7.3 按现状提供

本服务**按"现状"和"可用性"**提供,不附带任何明示或暗示的担保,包括但不限于适销性、特定用途适用性、不侵权和准确性。我们不保证本服务将不间断、无错误或安全。

7.4 算法局限性

您确认:

• 人工智能和基于规则的输出可能包含错误或文化上不完美的解读
• 中华传统文化的不同流派在方法和结论上存在差异;我们不代表任何单一权威传统
• 边界情况的生辰数据(如时区争议、闰月解读)可能产生与其他系统不同的结果

八、责任限制

在适用法律允许的最大范围内:

8.1 排除间接损害

我们不就任何间接、附带、特殊、后果性或惩罚性损害承担责任,包括但不限于:

• 利润或收入损失
• 机会或关系损失
• 精神损害
• 替代服务成本
• 名誉损害
• 您或您家庭的任何生活事件,而您将其归因于基于本服务选择的名字所产生的任何索赔

8.2 责任上限

无论行为形式(合同、侵权或其他),我们因本协议或本服务产生或相关的全部累计责任不超过以下较大者:

• 在索赔前 12 个月内您向我们支付的总金额,或
• USD 100

8.3 司法管辖区限制

某些司法管辖区不允许排除或限制特定损害。如本免责或限制在您的司法管辖区不可执行,其余条款应在法律允许的最大范围内适用。

九、赔偿

您同意就以下事项产生的任何索赔、责任、损害、损失和费用(包括合理律师费)赔偿、辩护并使我们、我们的管理人员、董事、员工、关联方和代理人免受损害:

• 您违反本协议
• 您违反任何适用法律
• 您未经适当授权提交未成年人信息
• 您滥用本服务或报告
• 因您使用本服务产生的任何第三方索赔
• 您基于本服务作出的任何决定

十、禁止行为

您同意不:

• 将本服务用于任何非法目的
• 提交虚假、不准确或欺诈性信息
• 未经适当授权提交关于第三方(包括未成年人)的信息
• 尝试访问其他用户的账户
• 反向工程、反编译或尝试提取源代码或算法
• 未经我们书面许可,使用自动化工具(机器人、爬虫)访问本服务
• 干扰或破坏本服务或服务器
• 绕过任何安全或访问控制
• 转售、再许可或商业化本服务输出
• 使用本服务训练竞争性 AI 或取名服务
• 提交违法、有害、威胁、诽谤、淫秽或其他可反对的内容
• 冒充任何人或虚报隶属关系
• 侵犯我们或任何第三方的知识产权

违反可能导致您的账户立即被暂停或终止,且不退款。

十一、服务修改和终止

11.1 服务修改

我们可随时(经通知或不经通知)修改、暂停或停止本服务(或任何部分)。我们不就任何修改或停止承担责任。

11.2 您方账户终止

您可随时通过联系我们关闭账户。关闭不使您有权获得已付报告的退款。

11.3 我方终止

我们可以下原因(经通知或不经通知)暂停或终止您的账户:

• 违反本协议
• 涉嫌欺诈、滥用或非法活动
• 对我方运营或其他用户构成风险
• 长期不活跃(通常 24 个月)
• 我方自主裁量的任何其他原因

11.4 留存效力

按其性质应在终止后留存的条款(包括第六、七、八、九、十二、十四、十五条)应在终止后继续有效。

十二、隐私

您使用本服务还受我们隐私协议管辖,通过引用并入本协议。

十三、第三方服务

本服务集成第三方服务(支付机构、云服务商、AI API)。您使用这些服务受其各自条款管辖。我们不就第三方服务承担责任。

十四、管辖法律

本协议受 [加拿大不列颠哥伦比亚省] 法律管辖,不考虑其法律冲突原则。《联合国国际货物销售合同公约》不适用。

对于居住在适用强制性消费者保护法的司法管辖区的消费者,该等强制性保护亦在法律要求范围内适用。

十五、争议解决;仲裁;集体诉讼放弃

15.1 非正式解决

在启动正式程序之前,您同意首先通过 jiamingyage@gmail.com 联系我们,并详细描述争议。我们将在 30 日内尝试善意解决。

15.2 有约束力的仲裁

如非正式解决失败,因本协议或本服务产生的任何争议、索赔或纠纷,应通过 [温哥华国际仲裁中心] 根据其 [简易程序规则](或等同规则)管理的有约束力的仲裁解决。仲裁应:

• 以英语(或经双方同意以中文)进行
• 在加拿大温哥华(或通过视频会议)进行
• 由独任仲裁员裁决

15.3 集体诉讼放弃

您与我们同意,任何一方均仅可以个人身份对另一方提起索赔,而非作为任何集体、合并或代表诉讼的原告或集体成员。

15.4 例外

以下事项可向法院提起:

• 符合小额诉讼法院管辖范围的小额索赔
• 知识产权侵权的禁令救济
• 您司法管辖区强制性消费者法律禁止仲裁的情形

15.5 仲裁条款的可分性

如集体诉讼放弃被认定不可执行,整个仲裁条款应可分割,但本协议的其余部分继续适用。

十六、一般条款

16.1 完整协议

本协议、我们的隐私协议及您同意的任何附加条款(例如特定功能的条款)构成您与我们之间的完整协议。

16.2 可分性

如任何条款被认定不可执行,其余条款应继续完全有效。

16.3 不弃权

我们未执行任何条款不构成对其后续执行权利的放弃。

16.4 转让

未经我们同意,您不得转让本协议。我们可在业务转让的情形下转让本协议。

16.5 语言

本协议以中英文提供。英文版与中文版如有冲突,以英文版为准用于确定双方权利义务,但您司法管辖区当地法律另有强制规定的除外。

16.6 通知

我们可通过您账户注册的邮箱通知您。您可通过 jiamingyage@gmail.com 通知我们。

16.7 不可抗力

任何一方均不就超出合理控制的事件所致的延迟或失败承担责任,包括自然灾害、战争、流行病、政府行为、网络故障或第三方服务故障。

十七、协议变更

我们可不时更新本协议。重大变更将通过以下方式通知:

• 本服务上的公告
• 发送至您注册邮箱(实质性变更)
• 本协议顶部的"最后更新"日期

通知后您继续使用本服务,视为接受。
